Terms and Conditions for Crowds Wire Ltd.

2. Use of Services
2.1 Eligibility
Clients must be at least 18 years old and possess the legal authority to enter into a binding contract.
2.2 Service Agreement
By ordering services, the Client agrees to these terms and conditions, as well as any additional terms specified during the ordering process.
3. Payment Terms
3.1 Payment Schedule
Payments for services are due at the signing of the agreement and at the beginning of each month thereafter unless otherwise agreed in writing.
3.2 Late Payments
Late payments may incur interest at a rate of 1.5% per month or the highest rate permitted by law, whichever is lower. In addition, the Company reserves the right to suspend services until full payment is received.
3.3 Non-refundable Payments
All payments made to Crowds Wire Ltd. are non-refundable, except in cases where the Company, at its sole discretion, determines a refund is warranted.
4. Service Delivery
4.1 Timeline
Crowds Wire Ltd. will use reasonable efforts to deliver services within the agreed timeline. However, delays may occur due to unforeseen circumstances, and the Company is not liable for such delays.
4.2 Changes to Services
Any changes to the scope of services must be agreed upon in writing. Additional charges may apply for changes outside the original agreement.
4.3 Performance Metrics
The Company does not guarantee specific performance results and is not responsible for any losses or damages resulting from the Client’s use of the services.
5. Client Responsibilities
5.1 Accurate Information
The Client agrees to provide accurate and complete information necessary for the provision of services. The Company is not responsible for any delays or issues arising from inaccurate information provided by the Client.
5.2 Cooperation
The Client agrees to cooperate with the Company by providing timely feedback and necessary resources to facilitate service delivery. Failure to do so may result in delays or additional charges.
5.3 Compliance
The Client is responsible for ensuring that their use of the services complies with all applicable laws and regulations.
6. Confidentiality
Both parties agree to keep confidential all information obtained during the course of the contract and not to disclose such information to any third party without prior written consent, except as required by law. The Company reserves the right to disclose confidential information if it is necessary to protect the Company’s rights or property.
7. Intellectual Property
7.1 Ownership
All intellectual property rights arising from the services provided by Crowds Wire Ltd. will remain the property of the Company until full payment is received. The Company reserves the right to use any work created for promotional purposes.
7.2 Use of Content
The Client grants the Company a non-exclusive, royalty-free license to use the Client’s content solely for the purpose of providing the services. The Client warrants that they have the right to use any content provided to the Company and will indemnify the Company against any claims arising from the use of such content.
8. Termination
8.1 Termination by Client
The Client may terminate the contract by providing 30 days’ written notice after a minimum period of 6 months. The Client will be responsible for any services rendered up to the termination date and any applicable termination fees.
8.2 Termination by Company
The Company reserves the right to terminate the contract immediately if the Client breaches any terms and conditions or fails to make timely payments. In such cases, the Client remains liable for all fees and charges incurred up to the date of termination.
9. Limitation of Liability
Crowds Wire Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of services, even if advised of the possibility of such damages. The Company’s total liability shall not exceed the amount paid by the Client for the services. The Client agrees to indemnify and hold harmless the Company from any claims, damages, or expenses arising from the Client’s use of the services.
10. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
11. Changes to Terms
Crowds Wire Ltd. reserves the right to modify these terms and conditions at any time. Any changes will be posted on the website and will become effective immediately upon posting. Continued use of the services after such changes constitutes acceptance of the new terms and conditions.
12. Force Majeure
The Company shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout, interruption or failure of electricity or telephone service, and no other party will have a right to terminate this Agreement in such circumstances.
13. Entire Agreement
These terms and conditions, along with any additional terms agreed upon during the ordering process, constitute the entire agreement between the Client and the Company, superseding any prior agreements or understandings.
14. Severability
If any provision of these terms and conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms and conditions will otherwise remain in full force and effect and enforceable.
15. No Waiver
The failure of either party to enforce any right or provision of these terms and conditions will not be deemed a waiver of such right or provision.
