Third Party Terms and Conditions
Introduction
These Third-Party Terms and Conditions (“Agreement”) govern the relationship between Crowds Wire Ltd. (“Company”) and any third party (“Third Party”) that engages with the Company, including vendors, suppliers, and service providers. By engaging with the Company, the Third Party agrees to comply with and be bound by these terms.
1. Compliance with Laws
The Third Party agrees to comply with all applicable laws and regulations. The Company may terminate the engagement if the Third Party violates any laws.
2. Confidentiality
Both parties agree to keep confidential all information obtained during the engagement and not disclose it without prior written consent, except as required by law.
3. Intellectual Property
All intellectual property rights arising from the engagement remain the property of the Company unless otherwise agreed in writing. The Third Party warrants they have the right to use any intellectual property provided to the Company.
4. Performance and Quality
The Third Party agrees to perform their obligations to the highest standards. The Company reserves the right to inspect and reject unsatisfactory deliverables.
5. Indemnification
The Third Party agrees to indemnify and hold harmless the Company from any claims, damages, or expenses arising from their breach of these terms.
6. Termination
The Company may terminate the engagement immediately if the Third Party breaches any terms. The Third Party may terminate the engagement with 30 days’ written notice, being responsible for services rendered up to the termination date.
7. Limitation of Liability
The Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the engagement. The Company’s total liability shall not exceed the amount paid to the Third Party for services.
8. Governing Law
These terms shall be governed by the laws of the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of UK courts.
9. Changes to Terms
The Company reserves the right to modify these terms at any time. Changes will be communicated to the Third Party and become effective immediately upon communication.
10. Force Majeure
The Company shall not be liable for any failure to perform due to Acts of Nature, war, civil unrest, or other force majeure events.
11. Entire Agreement
These terms, along with any additional terms agreed upon, constitute the entire agreement between the Third Party and the Company.
12. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
13. No Waiver
Failure to enforce any right or provision of these terms will not be deemed a waiver of such right or provision.
